TERMS AND CONDITIONS OF MEMBERSHIP

These Terms and Conditions (“Agreement”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Member,” “you,” or “your”) and Common Wrist Club, LLC (“Company,” “we,” “us,” or “our”), concerning your access to and use of the Common Wrist Club membership, website, and watch circulation services.


1. THE CIRCULATION MODEL (THE “3‑3‑3” RULE)

1.1 Service Description

The Company provides a peer‑to‑peer watch circulation service where Members are granted temporary access to timepieces from the Club’s collection.

1.2 Loaner Limits

Active membership entitles the Member to a maximum of three (3) loaner watches per calendar month.

1.3 Possession Duration

Each timepiece may be held for a maximum of three (3) consecutive days, beginning at the time the carrier marks the package as “Delivered.”

1.4 Transition Duty

Upon conclusion of the 3‑day period, the Member is strictly required to facilitate the transition of the timepiece to the next designated Member or return it to the Company, as directed by the Club’s logistics platform.


2. SUBSCRIPTION FEES AND BILLING

2.1 Monthly Fee

Membership is subject to a recurring monthly fee of $135.00.

2.2 Automatic Renewal

By enrolling, you authorize Common Wrist Club, LLC to charge your provided payment method on a recurring monthly basis.

2.3 Shipping Inclusions

Standard domestic shipping for all authorized watch circulations is fully covered by the Company and included as part of the monthly membership fee.


3. LIABILITY FOR LOSS, THEFT, OR DAMAGE

3.1 Assumption of Risk

From the moment a timepiece is delivered to the Member’s address until it is scanned into the possession of an authorized shipping carrier for return or forward transit, the Member assumes total liability for the item.

3.2 Definition of Damage

“Damage” includes, but is not limited to:

Significant scratches

Cracked crystal

Mechanical failure due to misuse (e.g., cross‑threading a crown)

Water damage

Normal wear consistent with careful use (“desk diving,” such as minor hairline scratches on the clasp) is excluded.

3.3 Replacement Value

If a timepiece is lost, stolen, or damaged beyond repair while in the Member’s possession, the Member is contractually obligated to pay the full replacement value as determined by the Company’s current market assessment.

3.4 Failure to Remit

Failure to pay for a lost or damaged asset within seven (7) days of claim notification will result in:

Immediate membership termination

Forfeiture of all fees paid

Pursuit of all available legal remedies to recover the debt


4. PRIVACY AND PEER‑TO‑PEER SAFETY

4.1 Peer‑to‑Peer Logistics

Members acknowledge that the Club’s business model involves the direct shipment of high‑value assets between private residences.

4.2 Non‑Disclosure of Peer Data

Members may receive names and shipping addresses of other Members for logistics purposes. You are strictly prohibited from storing, sharing, or using this information for any purpose other than the direct shipment of a Club‑authorized timepiece.

4.3 Liability Waiver Regarding Member Information

Common Wrist Club, LLC expressly disclaims all liability for any claims, damages, or disputes arising from a Member obtaining or using another Member’s shipping information.

4.4 No‑Contact Policy

Any Member found contacting or harassing another Member outside the authorized logistics framework will be subject to immediate and permanent termination.


5. TERMINATION AND CANCELLATION

5.1 At‑Will Termination by Company

Common Wrist Club, LLC reserves the right to terminate or suspend a Member’s access at any time, for any reason, at its sole discretion, including but not limited to:

Late returns

Suspicious activity

Violation of these Terms

5.2 Cancellation by Member

Members may cancel their subscription at any time after completing their first full month of membership.


6. RESERVATION SPOTS AND QUEUE PRIORITY

(For individuals reserving a spot in the queue)

6.1 Nature of Reservation

Payment of a reservation or application fee constitutes a request to join the Club’s membership queue. It does not constitute active membership or immediate access to the collection.

6.2 No Guaranteed Initiation Date

While estimated timelines may be provided, payment of a reservation spot does not guarantee a specific onboarding date.

6.3 First‑Come, First‑Served

Membership openings are offered strictly on a first‑come, first‑served basis according to the Member’s position in the digital queue.

6.4 Onboarding Process

Members will be formally onboarded and granted access to circulation services only when capacity becomes available, as determined solely at the Company’s discretion.


7. MODIFICATIONS TO TERMS AND CONDITIONS

7.1 Right to Amend

Common Wrist Club, LLC reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms at any time without prior notice.

7.2 Member Responsibility

Members are responsible for reviewing these Terms periodically for updates.

7.3 Continued Membership

Continued use of membership and circulation services after changes are posted constitutes acceptance of those changes.

7.4 Agreement to Future Terms

By remaining an active, paying Member, you irrevocably accept any updated or amended Terms as published by the Company.


8. GOVERNING LAW

This Agreement and your use of the services are governed by and construed in accordance with the laws of the State in which Common Wrist Club, LLC is registered, without regard to conflict of law principles.
